theArtsweb.com values and celebrates the work of artists like you,
and believes that all artists should have an opportunity to showcase
their work to as broad an audience as possible. As an theArtsweb.com
ArtSale Member Artist, you will benefit from a world-class Internet
infrastructure, characterized by quality, reliability and usability
and proven by art lovers who visit theArtsweb.com each month. Before
proceeding, please take the time to carefully review the Terms and Conditions
below, to confirm that you have a thorough understanding of all aspects
of ArtSale Membership.
IMPORTANT! Full compliance with the Terms and Conditions is
expected of all theArtsweb.com ArtSale members. Scroll down to
review the full document, and read carefully and completely before accepting.
theArtsweb.com ArtSale ARTIST AGREEMENT
THE FOLLOWING DESCRIBES THE TERMS ON WHICH theArtsweb.com OFFERS YOU
ACCESS TO OUR ArtSale SERVICES. BY APPLYING TO BE AN ARTIST,
YOU AGREE TO BE BOUND BY THE TERMS HEREIN.
This Artist Agreement (this Agreement) is by and between theArtsweb.com,
a Florida company, (theArtsweb.com, we or us and our shall be construed
accordingly) and you, (Artist or you and yours shall be construed accordingly),
individually a Party and collectively the the Parties effective on the
date you click to accept this Agreement (the Effective Date).
WHEREAS, theArtsweb.com operates a website on the World Wide Web found
on http://www.theartsweb.com (the Website) and has developed proprietary
technology to enable Artist to upload certain images onto the Website;
WHEREAS, Artist has created original artwork (the Artwork), digital
images of which are capable of being loaded onto the Website; and
WHEREAS, the Parties desire to collaborate so that digital images
of the Artwork may be displayed on the Website.
NOW THEREFORE, in consideration of these premises and for other good
and valuable consideration, receipt of which is hereby acknowledged,
the Parties agree as follows:
1.Introduction. In order for you to become a member of the theArtsweb.com
ArtSale (ArtSale), you must read, understand, agree to and accept the
terms and conditions set forth herein (the Terms and Conditions).In
addition to the provisions set forth below, the following policies (as
modified from time to time) are incorporated into the Terms and Conditions
by reference (collectively this Agreement) and relate to Artist as a
user of the Website:
Content Policy (attached hereto)
It is important that you read and understand this Agreement in its
entirety. In the event of any conflict between the Terms and Conditions
and any other theArtsweb.com policy posted on the Website, the Terms
and Conditions shall take precedence. theArtsweb.com reserves the right
to modify any of the terms and conditions contained in this Agreement
at any time at our sole discretion.Your continued participation in ArtSale
following our posting of changes in the Agreement or a notice on the
Website will constitute binding acceptance of the change. Any person
or entity acting on your behalf shall also be bound by this Agreement
and you agree to be responsible for such persons or entitys actions.
2. ArtSale is designed for artists aged 18 and above who can form
legally binding contracts under applicable law. By signing this Agreement,
Artist acknowledges that Artist is age 18 or above. As an theArtsweb.com
ArtSale Artist (an ArtSale Member), you will be provided (and we reserve
the right to change or reassign from time to time) a URL to use (ArtSale)
which may contain your name or username (which you hereby grant us the
right to use) and for which you will make available to us, by uploading
via the proprietary theArtsweb.com software tools, a variety of images
and textual information which, subject to this Agreement, we will display
within the pages designated to you on the Website within your Artist
Site (Artist Pages). You will only be assigned one Artist Site at a
time within the Website (unless prior written permission otherwise specifically
granted to you by theArtsweb.com) which may consist of one or more Artist
Page depending upon the number of images and amount of textual information
you load onto the Artist Site.The format and digital quality of such
images shall meet ArtSale editorial guidelines issued by theArtsweb.com
from time to time.The Artist Site will contain certain theArtsweb.com
graphics and textual links, which will serve to identify you as a ArtSale
Member. By loading or agreeing to have your Artwork loaded onto the
Website, you agree that you will cooperate fully with us and comply
with this Agreement at all times in a manner consistent with our current
policies including but not limited to our Content Policy (attached hereto)
and our policies regarding image resolution and proprietary notices,
such as copyright and trademark notifications.
Artist acknowledges that the factors determining whether the Artwork
falls within theArtsweb.com's Content policy may be subjective and agrees
that theArtsweb.com shall determine in its sole discretion whether the
Artwork, textual and other information loaded onto the Artist Site adheres
to the letter and spirit of such Content Policy.You may not impersonate
any person or entity including but not limited to another ArtSale Member,
or falsely state or otherwise misrepresent your affiliation with a person
or entity in any way. No character art or likenesses, the intellectual
property rights of which belong to others, shall be used in your Artwork
unless Artist has secured all necessary rights and licenses to do so.
Artist images and textual information may be removed and/or added from
time to time by either Party throughout the term of this Agreement provided
it continues to be in accordance with this Agreement. Further, theArtsweb.com
reserves the right to use proprietary methods to determine how Artists
images are ranked and displayed on the Website.
3. Artist Site and of Artwork Obligations. theArtsweb.com provides
a forum for Artist to sell Artwork via the Artist Site. Artist hereby
acknowledges and understands that Artist is responsible for (i) collection
of payment for any Artwork sold; (ii) delivery of any Artwork sold;
(iii) all applicable taxes and costs incurred related to any sale of
Artwork; (iv) resolution of any disputes arising from the sale of Artwork;
and (v) researching and complying with any applicable laws, restrictions,
regulations or manner of sale or exchange that may pertain to transactions
of the Artwork. Artist shall indicate clearly on Artist Site whether
or not Artwork is for sale or not and, if it is, the price of the Artwork.
Any change of status of availability must be updated within 48 hours
of such change in status. If complaints are received by theArtsweb.com
from users who contacted the Artist regarding buying Artwork which was
listed on the Artist Site as being available for sale when it was not,
Artist will be contacted by theArtsweb.com and Artists membership with
ArtSale may be terminated. Any prices listed must be stated in US dollars.
Artist may not use Artist Site (i) as storage for remote loading or
as a door or signpost to another home page, whether inside or external
to theArtsweb.com (ii) to solicit for advertisers or sponsors;(iii)
to conduct raffles or contests that require any type of entry fee; (iv)
to display a sponsorship banner of any kind, including those that are
generated by banner or link exchange services; or (v) to display banners
for services that provide cash or cash-equivalent prizes to users in
exchange for hyperlinks to their web sites. Artist agrees not to upload,
post or otherwise transmit any material that contains software viruses
or any other computer code, files or program designed to interrupt,
destroy or limit the functionality of any computer software or hardware
or telecommunications equipment.
You will be solely responsible for all material loaded by or for you
on the Artist Site (including but not limited to images, icons and textual
information such as contact details, Artists profile, descriptions of
Artwork, exhibition and pricing information) and the accuracy and propriety
of the same. The content of the Artist Site, including any communications
generated from it (via email mechanism or otherwise) shall not (i) violate
or infringe upon the rights of any third party; (ii) be libelous; (iii)
advocate or promote sexually explicit or indecent material; (iv) advocate
or promote violence; (v) promote discrimination based on race, sex,
religion, nationality, disability, sexual orientation, age or otherwise;
(vi) be harmful to children; or (vii) otherwise be illegal. Recognizing
the global scope of the Internet, you further agree to comply with all
applicable laws regarding the transmission of electronic data exported
from the country in which you reside.
You acknowledge that theArtsweb.com may pre-screen content, that theArtsweb.com
shall have the right (but not the obligation) in its sole discretion
to reject or remove any content (Artwork, images, text or otherwise)
that is available via the Artist Site and the Website as a whole. Without
limiting the foregoing, shall have the right to remove any content that
violates this Agreement or is otherwise objectionable. You agree that
you must evaluate, and bear all risks associated with, the use of any
content provided by you, including any reliance on the accuracy, completeness,
or usefulness of such content.
4. Communications. theArtsweb.com may need to communicate with Artist
from time to time via email, telephone or by post. In order to facilitate
such communications, Artist agrees to provide theArtsweb.com a current
email address, telephone number and postal address and to update such
information immediately upon any change of the same. Any information
you provide to us, post or load onto the Website and communicate to
users shall not be false, inaccurate or misleading. Communications between
the Artist and any users of the Artist Site will occur initially via
an theArtsweb.com-generated reply email on the Artist Site. Artist hereby
acknowledges that the Website is, generally, directed to users over
the age of 13 who purchase items with credit cards and that we do not
knowingly collect personal information from or about children under
the age of 13 except as relating to a specific order for products or
services. If we, at any time, learn that information relating to a child
under the age of 13 that we have obtained is other than as set forth
above, we shall immediately purge such information from our records.
In line with this policy, Artist acknowledges and agrees that any communication
between Artist and a user of the Artist Site must be over the age of
13. If it comes to the Artists attention that a user is under age
13, Artist must not communicate with such user. theArtsweb.com reserves
the right to monitor the Artist Site and any emails generated from such
Artist Site. If, at any time, we discover that you are using the Artist
Site or ArtSale for any reason other than related to ArtSale in accordance
with this Agreement, your relationship with us will be terminated immediately.
Artist should report any suspicious communications to theArtsweb.com;
however, theArtsweb.com is not responsible for any communication or
activity between the Artist and any third-party or user of the Artist
Site. Artist hereby agrees not to upload, post or otherwise transmit
any unsolicited or unauthorized advertising, promotional materials,
"junk mail," "spam," "chain letters,"
or "pyramid schemes" or other such solicitations. Artist shall
not stalk or otherwise harass any other ArtSale Member (via ArtSale
tool or otherwise) or users of the Artist Site or Website. Artists may
not collect or store personal data about users except as authorized
by the user.
5. Term of this Agreement. The term of this Agreement will begin upon
your acceptance of this Agreement and will end at the expiry of one
(1) year from the Effective Date unless terminated earlier by either
Party for any reason.Membership (with the exception of initial one-year
free annual membership for launch artists) and renewal for artists chosen
to participate in the ArtSale area of the Website shall be upon payment
in cleared funds of applicable ArtSale membership fee. Membership for
ArtSale shall be automatically renewed upon expiration of the term of
this Agreement unless cancelled by either Artist or theArtsweb.com.
Either Party may terminate this Agreement at any time by providing
prior written notification to the other Party. In the event of early
termination by Artist, theArtsweb.com agrees to remove Artwork from
the Website within seven (7) business days of receipt of such written
notice. Membership Fees are non-refundable, regardless of early termination.
6. Publicity. You shall not create, publish, distribute, or permit
any written material that makes reference to theArtsweb.com or ArtSale
without first submitting such material to us and receiving our prior
written consent.
7. Licenses and Use of the theArtsweb.com Logos and Trademarks. YOU
SHALL NOT MAKE ANY USE OF ANY theArtsweb.comTRADEMARKS, LOGOS, OR TRADE
DRESS WITHOUT PRIOR WRITTEN APPROVAL BY theArtsweb.com; HOWEVER, theArtsweb.com
MAY DISPLAY SUCH TRADEMARKS AND LOGOS ON THE ARTIST SITE.
YOU GRANT TO US A NON-EXCLUSIVE, WORLDWIDE, ROYALTY-FREE LICENSE TO
UTILIZE YOUR ARTWORK, TITLES, AND LOGOS, AS THE SAME MAY BE AMENDED
FROM TIME TO TIME (THE ARTIST LICENSED MATERIALS), TO ADVERTISE, MARKET,
PROMOTE, AND PUBLICIZE IN ANY MANNER IN ACCORDANCE WITH THIS AGREEMENT
INCLUDING BUT NOT LIMITED TO ALL AREAS OF THE WEBSITE, OUR PARTNER AFFILIATE
SITES, IN INTERNET ADVERTISING AND HARD COPY MARKETING MATERIALS; PROVIDED,
HOWEVER, THAT WE SHALL NOT BE REQUIRED TO SO ADVERTISE, MARKET, PROMOTE,
OR PUBLICIZE. THIS LICENSE SHALL TERMINATE UPON THE EXPIRATION OR TERMINATION
OF THIS AGREEMENT UNLESS OTHERWISE SPECIFICALLY STATED IN THIS AGREEMENT.
You may not register the words theArtsweb.com or variations thereof
for use in any search engine, portal, advertising service or similar
services service.
At no time during or after the term of this Agreement shall you challenge
or assist others to challenge any theArtsweb.com trademark, logo, or
trade dress (except to the extent expressly prohibited by applicable
law) or the registration thereof or attempt to register any trademarks,
marks or trade names confusingly similar to any theArtsweb.com trademark,
logo, or trade dress.
8. Image Categorization. theArtsweb.com reserves the right to categorize
and re-categorize Artwork submitted to the Website, including the Artist
Site, (within the theArtsweb.com subject classification taxonomy). Re-categorization
may occur if it appears that the categories chosen are inappropriate
or unfriendly from a user perspective.
9. Disclaimers. We make no express or implied warranties or representations
with respect to the Website or ArtSale or any Artwork (including, without
limitation, warranties of fitness, merchantability, non-infringement,
or any implied warranties arising out of course of performance, dealing,
or trade usage). In addition, we make no representation that the operation
the Website will be uninterrupted or error free, and we will not be
liable for the consequences of any interruptions or errors.
10. Confidentiality. For purposes of this Agreement, Confidential
Information shall mean, with respect to theArtsweb.coms confidential
and proprietary information, all strategic and development plans, trade
secrets, types of products to be sold, manner in which they will be
sold, pricing, financial condition, business plans, co-developer identities,
data, business records, customer lists, project records, market reports,
employee lists and business manuals, policies and procedures, information
relating to processes, technologies or theory, information regarding
any theArtsweb.com employee, the relationship of the Parties or any
agreements between the Parties, names of theArtsweb.com's business partners
and all other information which may be disclosed by theArtsweb.com or
to which Artist may be provided access by theArtsweb.com or others in
accordance with this Agreement, or which is generated as a result of
or in connection with ArtSale, if not generally available to the public.
Without limiting the generality of the foregoing, Confidential Information
includes any reports or documents created by the Artist that include,
summarize or refer to the theArtsweb.coms Confidential Information.
For purposes of this Agreement, Confidential Information with respect
to the Artists confidential and proprietary information, shall mean
any information relating to the Artist that the Artist has disclosed
to theArtsweb.com and that Artist has designated in writing as confidential
prior to its disclosure .
The Parties agree to receive and hold the other Party's Confidential
Information in confidence. Without limiting the generality of the foregoing,
the Parties further promise and agree:(i) to protect and safeguard the
other Partys Confidential Information against unauthorized use, publication
or disclosure; (ii) not to use any of the other Party's Confidential
Information except for ArtSale; (iii) not to, directly or indirectly,
in any way, reveal, report, publish, disclose, transfer or otherwise
use any of the other Party's Confidential Information except as specifically
authorized by the other Party in accordance with this Agreement; (iv)
to restrict access to the other Party's Confidential Information to
those of its officers, directors, and employees who clearly need such
access to carry out ArtSale and who have signed confidentiality agreements
or are otherwise bound by confidentiality obligations at least as restrictive
as those contained herein; (v) to advise each of the persons to whom
it provides access to any of the other Party's Confidential Information,
that such persons are strictly prohibited from making any use, publishing
or otherwise disclosing to others, or permitting others to use for their
benefit or to the detriment of the other Party; and (vi) to comply with
any other reasonable security measures requested in writing by the other
Party.
The confidentiality obligations hereunder shall not apply to Confidential
Information which:(i) is, or later becomes, public knowledge other than
by breach of the provisions of this Agreement; (ii) is in the possession
of a Party with the full right to disclose prior to its receipt from
the other Party, as evidenced by written records; (iii) is independently
received by a Party from a third party whose disclosure violates no
duty of disclosure; or (iv) is required to be delivered pursuant to
an order of court or other applicable government authority, provided,
however, that the Party shall first have given notice to the other Party
and shall give such Party a reasonable opportunity to interpose an objection
or obtain a protective order requiring that the Confidential Information
so disclosed be used only for the purposes for which the order was issued.
The Parties agree, upon termination of this Agreement or upon the
written request of the other Party, whichever is earlier, to deliver
promptly to the other Party all records, notes, and other written, printed,
or tangible media or materials in the possession of the other Party,
embodying or pertaining to the Confidential Information, or, if requested
by the other Party, to destroy such information.
Each Party hereby agrees and acknowledges that no license, either
express or implied, is hereby granted to the other Party to use any
of the Confidential Information. Neither Party shall acquire any right
or title to the other Party's Confidential Information or any intellectual
property rights with respect thereto (including but not limited to patents,
trademarks, copyrights or trade secrets) nor the right to market, use,
license or franchise the Confidential Information or the ideas, concepts,
methods or practices embodied therein, except as the Parties may separately
agree in writing.
The confidentiality obligations hereunder shall survive termination
of this Agreement.
11. Disclosure for Legal Purposes. You hereby authorize us to disclose
information pursuant to judicial and administrative proceedings, and
in connection with law enforcement activities and as otherwise may be
permitted by law, to law enforcement or government agencies if we believe
the disclosure is necessary or appropriate. You also authorize us to
disclose information if we believe the disclosure is necessary or appropriate
in the event of an investigation of improper or illegal conduct in connection
with the Website, such as fraud, misrepresentation, intellectual-property
infringement, or other activity that may put us at risk for liability.
We will, whenever we believe reasonably possible, use our reasonable
efforts to inform Artist if such information may be so revealed.
12. Representations and Warranties.
You hereby represent and warrant to us as follows:
a.This Agreement has been duly and validly executed and delivered
by you and constitutes your legal, valid, and binding obligation,
enforceable against you in accordance with its terms.
b. The execution, delivery, and performance by you of this Agreement
and the consummation by you of the transactions contemplated hereby
will not, with or without the giving of notice, the lapse of time,
or both, conflict with or violate (i) any provision of law, rule,
or regulation to which you are subject; (ii) any order, judgment,
or decree applicable to you or binding upon your assets or properties;
(iii) any provision of your by-laws or certificate of incorporation;
or (iv) any agreement or other instrument applicable to you or binding
upon your assets or properties.
c. YOU POSSESS ALL REQUISITE RIGHTS IN AND TO THE ARTWORK, images,
icons AND TEXT uploaded to the ARTIST site TO GRANT TO theArtsweb.com
THE RIGHTS GRANTED IN THIS AGREEMENT AND CONTEMPLATED HEREIN.NO THIRD
PARTY POSSESSES ANY LICENSE OR OTHER RIGHTS WITH RESPECT TO THE ARTWORK
THAT WOULD PROHIBIT, IMPAIR OR CONDITION theArtsweb.comS ABILITY TO
EXERCISE FULLY THE RIGHTS GRANTED HEREUNDER AND CONTEMPLATED HEREIN.the
rights granted hereunder do not and will not (i) breach, conflict
with, or constitute a default under any agreement or other instrument
applicable to you or binding upon your assets or properties, or (ii)
infringe upon any trademark, trade name, service mark, copyright,
privacy right, publicity right or other proprietary right of any other
person or entity.
d. No consent, approval, or authorization of, or exemption by, or
filing with, any governmental authority or any third party is required
to be obtained or made by you in connection with the execution, delivery,
and performance of this Agreement or the taking by you of any other
action contemplated hereby.
e. There is no pending or, to the best of your knowledge, threatened
claim, action, or proceeding against you, or any affiliate of yours,
with respect to the execution, delivery, or consummation of this Agreement,
or with respect to your copyrights, trademarks or other intellectual
property rights, and, to the best of your knowledge, there is no basis
for any such claim, action, or proceeding.
f. No Artwork, images, text or other material provided by Artist
(i) will violate any applicable law, rule or regulation, local or
otherwise, (including, but not limited to, any law relating to false
or deceptive advertising); (ii) will be libelous; or (iii) will violate,
misappropriate or infringe upon any right of any third party, including,
but not limited to, any contractual right, copyright, trademark, proprietary
right, trade secret right, moral right, any right of privacy or publicity,
or any other intellectual property right.
theArtsweb.com represents and warrants that to the best of its knowledge,
its services do not violate any applicable law, rule or regulation,
and to the best of its knowledge, will not infringe any contractual
right, copyright, trademark or trade secret right of any third party.
13. Indemnification. You hereby agree to indemnify and hold harmless
theArtsweb.com and its subsidiaries and affiliates, and their directors,
officers, employees, agents, shareholders, partners, members, and other
owners, against any and all claims, actions, demands, liabilities, losses,
damages, judgments, settlements, costs, and expenses (including reasonable
attorneys' fees) (any or all of the foregoing hereinafter referred to
as Losses) insofar as such Losses (or actions in respect thereof) arise
out of or are based on (i) any claim that our use of your Artwork or
information provided by you infringes on any trademark, trade name,
service mark, copyright, license, publicity right, privacy right, goodwill,
patent, or other intellectual property or proprietary right of any third
party; (ii) any misrepresentation of a representation or warranty or
breach of a covenant and agreement made by you herein; or (iii) any
claim related to your Artist Site, including, without limitation, content
therein not attributable to us.
14. LIMITATION OF LIABILITY
NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL
OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF REVENUE
OR PROFIT UNDER OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF
WHETHER EITHER PARTY SHALL HAVE BEEN ADVISED BY THE OTHER PARTY OF OR
SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. THE PARTIES AGGREGATE
LIABILITY TO EACH OTHER UNDER THIS AGREEMENT, REGARDLESS OF THE FORM
OF ACTION (INCLUDING NEGLIGENCE) WILL IN NO EVENT EXCEED THE AGGREGATE
AMOUNT ACTUALLY PAID OR PAYABLE TO ARTIST UNDER THIS AGREEMENT. NOTWITHSTANDING
THE FOREGOING, THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO ARTISTS
INDEMNIFICATION OBLIGATIONS CONTAINED HEREIN.
15. Relationship of the Parties. Artist and theArtsweb.com are independent
contractors, and nothing in this Agreement will create any partnership,
joint venture, agency, franchise, sales representative, or employment
relationship between the Parties. You will have no authority to make
or accept any offers or representations on our behalf. You will not
make any statement, whether on the Artist Site or otherwise, that reasonably
would contradict anything in this section.
16. Severability. If any term, clause or provision of this Agreement
shall be deemed invalid or unenforceable for any reason,the remainder
of this Agreement shall remain valid and enforceable in accordance with
its terms.
17. No Assignments. You may not assign this Agreement, by operation
of law or otherwise, without our prior written consent. Subject to that
restriction, this Agreement will be binding on, inure to the benefit
of, and enforceable against the Parties and their respective successors
and assigns.
18. Entire Agreement and Amendments. With the specific exception of
the NDA and except as otherwise provided herein, this Agreement constitutes
the entire agreement between the Parties relating to this subject matter,
and all prior negotiations and understandings, whether oral or written,
are superseded. No modification or amendment of this Agreement shall
be effective unless in writing and signed by the Parties.
19. Authorized to Enter Agreement. Each Party represents and warrants
that it is duly organized, validly existing and in good standing in
its state of incorporation, and has full power and authority to enter
into this Agreement and to contract for the Services in accordance with
the terms of this Agreement.
20.Independent Investigation. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS
AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS.YOU HAVE INDEPENDENTLY
EVALUATED THE DESIRABILITY OF PARTICIPATING IN ArtSale AND ARE NOT RELYING
ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH
IN THIS AGREEMENT AND THE NDA.
Governing Law This Agreement will be governed by the laws of the United
States and the State of Florida, without reference to rules governing
choice of laws. Any action relating to this Agreement must be brought
in the federal or state courts located in Orange County, Florida, and
you irrevocably consent to the jurisdiction of such courts. Our failure
to enforce your strict performance of any provision of this Agreement
will not constitute a waiver of our right to subsequently enforce such
a provision or any other provision of this Agreement.

theArtsweb.com strives not to cross any legal lines with our material
and aim to appeal to a broad general audience. Please remember that
art is a very subjective topic and what is deemed acceptable to one
audience, may not be acceptable to another. The following provides more
specific information regarding theArtsweb.coms requirements regarding
content:
Hate and Social Intolerance:theArtsweb.com will not carry art that
it considers to advocate hate, racial intolerance or violence or that
ridicules any individual, group, or organization. Some historical images
